Terms of Service

Effective date: 13/11/25
These Terms form a contract between you and Quelld Ltd (“Quelld,” “we,” “us”). By using Quelld.ai (the “App”) or Quelld.com (the “Site”), you agree to these Terms and our Privacy Policy.

1) Eligibility & accounts
You must be 18+ and capable of forming a contract.
Keep your credentials secure; you’re responsible for all activity under your account.
We may offer single sign‑on (SSO) across the App and Site; your one account may be used on both domains.

2) Roles and services
Quelld supports two primary roles:
Service Providers – individuals or businesses listing services (e.g., childcare, tutoring, home services) and accepting bookings via the Site.
Parents/Homeowners (or “Customers”) – individuals browsing and booking services. (You may use a different display name in the UI.)
Quelld provides a platform/marketplace and AI‑enabled organisational tools. Unless we expressly state otherwise, Quelld is not a party to the contract between Customers and Service Providers, and we don’t employ, endorse, or guarantee any user.

3) Bookings, payments, and cancellations
Bookings are facilitated via Trafft on the Site. Additional terms and fee schedules may apply (see Schedule B – Marketplace & Bookings).
Payments are processed by our payment processor; you authorise charges for subscriptions, booking fees, and applicable taxes.
Cancellation, refund, and dispute terms are set out in the booking flow and Schedule B. Where a Provider sets a policy, it must be clearly disclosed before booking.

4) App features (AI, calendars, co‑parenting)
The App may offer AI‑assisted features (e.g., parsing of emails you connect, keyword onboarding, Child arrangement patterns ). These are assistive tools; the output may be imperfect and requires human review.
You’re responsible for verifying schedules, communications, and outcomes before relying on them.

5) Acceptable use
You agree not to:
Break the law, infringe IP or privacy rights, or misrepresent your identity or qualifications.
Upload unlawful, harmful, or inappropriate content (including content about children without proper authority).
Attempt to reverse engineer, scrape, or harm our systems, or bypass access controls.
Post reviews that are fraudulent, biased, or retaliatory.
We may remove content or suspend accounts that violate these Terms.

6) Intellectual property
Quelld owns all rights in the Site, App, and brand (except content you upload and third‑party content under licence).
You grant Quelld a worldwide, non‑exclusive, royalty‑free licence to host, display, and process your content solely to operate and improve the services.
You must not use Quelld marks without our permission.

7) Feedback
If you submit ideas or suggestions, you grant us a worldwide, perpetual, irrevocable licence to use them without compensation.

8) Disclaimers
Services are provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, and non‑infringement.
Marketplace listings and user content are provided by users; we do not guarantee their accuracy or safety. Quelld is not responsible for interactions between users.
Quelld does not provide legal, medical, therapeutic, or professional advice.

9) Limitation of liability
To the fullest extent permitted by law: (a) Quelld is not liable for indirect, incidental, special, consequential, or punitive damages; and (b) our aggregate liability arising out of or relating to the services shall not exceed the greater of £100 or the amounts paid by you to Quelld in the 12 months before the claim.

10) Indemnity
You agree to defend, indemnify, and hold harmless Quelld and its affiliates from claims arising out of your use of the services, your content, or your breach of these Terms.

11) Termination
You may stop using the services at any time. We may suspend or terminate access for any breach or risk to the platform, or where required by law. Upon termination, provisions that by nature should survive (e.g., IP, disclaimers, liability limits) shall survive.

12) Changes to the services or Terms
We may modify features or these Terms. We’ll post updates with an effective date; material changes will be notified by email or in‑app. Continued use after changes means you accept the updated Terms.

13) Governing law & disputes
These Terms are governed by the laws of England and Wales. Courts of England and Wales shall have exclusive jurisdiction, except that consumers domiciled in the EEA/UK may benefit from mandatory local consumer protections. Informal resolution first; if unresolved, parties agree to good‑faith negotiation before litigation.

Schedule A – App‑Specific Terms (Quelld.ai)
SSO & linked accounts: If you sign up on the Site or App, we may create/recognise your account across both domains. You remain responsible for profile accuracy and role selection.

Data sources you connect: If you connect email or other data sources, you authorise Quelld and its processors to access and process that data solely to provide features you enable. You can disconnect sources at any time in settings.
Custody & calendar templates: Templates (e.g., 5‑2‑2‑5) are provided for convenience only and do not constitute legal advice or reflect court orders.
Notifications: You control notification settings. Network/SMS charges may apply from your provider.

Schedule B – Marketplace & Bookings (Quelld.com via Trafft)
Provider obligations: You must provide accurate listings, pricing, qualifications, insurance (where applicable), right‑to‑work, and DBS/other checks as required by law. You are independent from Quelld.
Customer obligations: Review listings and policies carefully. You are responsible for your selection of Providers and for complying with local laws.
Fees & payouts: Platform and processing fees may apply and will be disclosed during checkout. Payouts to Providers are handled by the payment processor in accordance with its terms and KYC requirements.
Cancellations & refunds: Displayed in the booking flow and your confirmation email. Quelld may facilitate, but final responsibility follows the disclosed policy and applicable consumer law.
Reviews & ratings: Must reflect honest experiences. We may moderate for policy compliance.
Disputes: Parties should first message through the platform. Quelld may, at its discretion, assist in process clarity but is not obliged to adjudicate.

Schedule C – Sub‑processors
Hosting & infrastructure: [e.g., AWS, Vercel]
AI/ML processing: [e.g., OpenAI, Anthropic] used to process user‑authorised content for assistive features; no training on your data beyond providing the service.
Email & notifications: [e.g., SendGrid/Postmark]
Analytics: [e.g., Google Analytics]
Bookings: Trafft (white‑label by ChangeFluent)
Payments: [e.g., Stripe]

Schedule D – Cookie Notice
We use cookies and similar technologies:
Categories
Essential: authentication, SSO, security, load balancing.
Functional: remember preferences (e.g., role, locale).
Analytics: measure usage and performance.
Marketing: measure campaigns and show relevant ads (where used).

Your choices
Use the on‑site banner to accept or manage categories (except essential). You can withdraw consent anytime in Cookie Settings.
